Paralegal/ Contracts Specialist

Job Title: Senior Paralegal / Senior Contracts Specialist. Location: Remote (United States or Canada)

D-Wave is seeking a Senior Paralegal or Senior Contracts Specialist to join its Legal team; This role supports global commercial contracting and legal operations and reports to the Manager, Commercial Counsel; You will work independently and act as a trusted legal partner to internal business teams across the organization.

This is a fully remote position. Candidates must be based in the United States or Canada.

Responsibilities:

Provide senior-level support for commercial contracting and legal operations
Draft, review, negotiate, and finalize commercial agreements using approved templates, including NDAs, SaaS agreements, consulting agreements, and vendor contracts
Review third-party contract terms, identify legal and business risks, and propose practical solutions
Support complex commercial transactions such as collaboration, technology, consulting, and financing agreements
Manage contract workflows and coordinate with internal and external stakeholders through execution and signature
Prepare and maintain corporate entity documentation and support general corporate matters;
Manage and improve contract lifecycle management tools, processes, and controls
Track deadlines and ensure compliance with internal contracting procedures
Serve as the primary contact for routine commercial contracting questions
Exercise judgment on when to escalate issues to Legal Counsel;
Identify opportunities to standardize and improve contract templates, playbooks, and processes in a global environment

Qualifications:

Bachelor’s degree in legal studies, business, or a related field with at least 6 years of experience as a paralegal or contracts specialist
- OR a relevant paralegal certification with at least 8 years of experience
Experience gained in a law firm and or in-house legal environment
Strong ability to independently draft, review, and negotiate commercial agreements
Proven ability to manage a high volume of complex contracts;
Ability to work with minimal supervision and exercise sound judgment
Strong organizational skills and attention to detail
Experience working in a fast-paced, global, cross-functional environment

Preferred:

Experience supporting technology, SaaS, or research-driven organizations
Familiarity with contract lifecycle management systems;
Strong interest in staying current with laws and regulations affecting commercial contracts
