Job Description

Job Title: Senior Counsel, Commercial and Compliance. Location: Remote (United States or Canada)

The role involves advising on complex business transactions, ensuring regulatory compliance, & supporting internal teams with practical legal solutions that align with business goals.

Responsibilities:

• Draft, review, and negotiate a variety of complex commercial agreements, including SaaS, procurement, customer, professional services, confidentiality, and collaboration contracts.
• Provide practical legal advice to internal teams on commercial and compliance issues with minimal supervision.
• Work closely with Procurement, Sales, R&D, and Finance to manage contracts and compliance programs;
• Identify and mitigate legal and regulatory risks related to privacy, cybersecurity, export controls, and AI laws.
• Develop and manage compliance and ethics programs, policies, and training materials.
• Stay current with evolving regulations and industry standards that affect D-Wave’s operations.
• Support awareness and training programs for compliance and commercial best practices;
• Collaborate with senior legal counsel to address emerging compliance trends and align legal strategies with company objectives.

Qualifications:

• Juris Doctor (JD) or Bachelor of Laws (LL.B.).
• Licensed to practice law in Canada or the United States.
• 5–7 years of experience at a top-tier law firm or in-house legal department;
• Proven experience negotiating and drafting complex commercial and technology agreements.
• Strong understanding of commercial law, privacy, export controls, cybersecurity, and AI compliance.
• Excellent written and verbal communication skills.
• Ability to balance multiple priorities in a fast-paced environment;
• Demonstrated ability to provide clear, practical legal advice aligned with business objectives.
• Strong collaboration and relationship-building skills across teams.
• Self-motivated and proactive, with a high degree of professional integrity.

Compensation:

• United States: USD 115,200 – 172,800 per year
• Canada: CAD 104,000 – 156,000 per year
